This agreement is between Kani Afritech LTD, a company registered in Tanzania under incorporation number 210092323, TIN 210-092-323, of P.O. Box 72557, Dar es Salaam, Tanzania ("Kani", "we", "us"), and the company that signs up for Kani LMS ("the Customer", "you").
1.1 You accept this agreement by clicking "Sign Up" or "Start free" at app.kani.co.tz, by signing a Kani quotation, or by using Kani LMS. Under the Electronic Transactions Act, this online acceptance is a binding contract.
1.2 The person accepting confirms they have authority to bind the Customer.
3.1 During your Subscription, Kani grants you a non-exclusive, non-transferable right for your Users to use Kani LMS for your own internal business.
3.2 You receive a right to use Kani LMS, not ownership of it. Kani LMS is licensed, not sold.
3.3 You must not:
4.1 You decide who your Users are and what approval level each has, including who reviews and who gives final approval on expenses and fuel requests.
4.2 You are responsible for everything done under your Users' logins. Tell us at support@kani.co.tz as soon as you suspect a login has been misused.
5.1 New Customers get free, full access for a trial period. The length is the one published at kani.co.tz or stated in your quotation when you sign up.
5.2 If you do not start a Subscription when the Free Trial ends, we may delete trial data after 30 days.
6.1 Kani LMS is charged per User per month. The rate is the one in the quotation you accepted or, if there is no quotation, the current rate published at kani.co.tz. Any minimum number of Users, and what each plan includes, is as set out in that quotation or price list.
6.2 Fees are billed in advance for a term of either six or twelve months, as stated in your quotation, and are exclusive of VAT and other taxes, which we add as the law requires. We issue EFD receipts or tax invoices.
6.3 Invoices are due within 7 days. If payment is more than 14 days late, we may suspend access after giving you written notice. Your Customer Data is not deleted during suspension.
6.4 We may change prices by giving at least 30 days' notice. The new price applies from your next billing term.
6.5 Fees already paid are not refundable, except where the law requires or where we end this agreement without cause.
6.6 Training and supporting services, such as choosing and setting up an accounting or ERP system, are covered by a separate quotation and are not included in the Subscription fee.
7.1 You own your Customer Data. You give us the right to host, copy and process it only to provide Kani LMS to you.
7.2 For personal data inside Customer Data (for example drivers, your customers' contacts and supplier contacts), you are the data controller and Kani is your data processor under the PDPA. We will:
7.3 You are responsible for having a lawful basis to put personal data into Kani, for your own PDPC registration, and for the accuracy of what you enter.
7.4 We may use anonymised, combined usage figures that cannot identify you or any individual to run and improve Kani LMS.
8.1 When you turn on QuickBooks sync or connect another system, we send the Customer Data you choose to that system on your instruction.
8.2 That system is provided by its own supplier under its own terms. We are not responsible for it being unavailable or for how it handles your data.
9.1 We aim for Kani LMS to be available 99.5% of each month, excluding planned maintenance. This is a target, not a guarantee. We give at least 24 hours' notice of planned maintenance where possible.
9.2 If availability falls below the target in any month, you may ask us in writing, within 30 days of the end of that month, for a service credit equal to the fees for the period Kani LMS was unavailable. If availability falls below 90% in two consecutive months, you may end this agreement immediately and we refund the unused part of your prepaid fees. These are your only remedies for failure to meet the availability target in clause 9.1.
9.3 We back up Customer Data daily and keep backups for 30 days.
9.4 Support is available at support@kani.co.tz, Monday to Friday, 08:00–17:00 EAT.
10.1 Kani LMS, including its software, design, documentation and the Kani name and logo, belongs to Kani Afritech LTD and is protected under the Copyright and Neighbouring Rights Act and other laws.
10.2 If you send us suggestions, we may use them freely without paying you.
Each party will keep the other's non-public business information confidential and use it only for this agreement. This does not apply to information that is already public, or that the law, a court or a regulator requires to be disclosed.
12.1 Kani LMS helps you manage files, approvals and profit per file. It does not give accounting, tax, customs or legal advice.
12.2 Reports and profit figures are only as accurate as the data your Users enter. You remain responsible for your filings with TRA, TANCIS, shipping lines and other authorities.
12.3 Apart from what this agreement says, Kani LMS is provided "as is", to the extent Tanzanian law allows.
13.1 Neither party is liable for indirect losses, including lost profit, lost business, or demurrage, storage or penalty charges.
13.2 Kani's total liability under this agreement in any 12 months is limited to the fees you paid in those 12 months.
13.3 Nothing in this agreement limits liability for fraud, or any liability the law does not allow to be limited.
13.4 If Customer Data is exposed, altered or lost because of a security incident, including unauthorised access by a third party, we will act under clause 7.2, and the limits in clauses 13.1 and 13.2 apply to any claim you bring. Those limits do not affect either party's own duties to the PDPC or to affected individuals under the PDPA, which cannot be transferred by this agreement. We are not liable for an incident caused by your own systems, your Users' conduct, or login details shared or lost on your side.
14.1 This agreement runs for the billing term you choose, six or twelve months, from the day you accept it. It renews for a further term of the same length unless either party gives notice before the term ends.
14.2 You may choose not to renew by telling us at least 14 days before the current term ends. We may end this agreement by giving 30 days' written notice.
14.3 Either party may end it immediately if the other seriously breaks it and does not fix the breach within 14 days of written notice, or becomes insolvent.
14.4 After the agreement ends, you have 30 days to export your Customer Data. We then delete it within a further 30 days, except where the law requires us to keep it.
Neither party is liable for delays caused by events beyond its reasonable control, such as power or internet outages, natural disasters, war, or government action.
We may update this agreement by giving at least 30 days' notice by email or inside Kani LMS. If you do not agree, you may cancel before the change takes effect.
17.1 This agreement is governed by the laws of the United Republic of Tanzania.
17.2 The parties will first try to settle any dispute by good-faith discussion for 30 days.
17.3 If that fails, the dispute goes to arbitration in Dar es Salaam under the Arbitration Act, Cap. 15, before one arbitrator. The arbitration may be conducted in Kiswahili or English, and documents and evidence may be submitted in either language without translation.
This policy explains how Kani Afritech LTD collects, uses and protects personal data through kani.co.tz, app.kani.co.tz and the Kani LMS mobile app, in line with the Personal Data Protection Act, Cap. 44.
